Terms of Service

1. Agreement to Terms

By accessing or using the Nod First application ("Nod First", "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. About This Service

Nod First is an early-stage product under active development, offered at this stage as a demonstration and pre-seed product. It is not yet a mature, fully commercial offering, and its features, availability, and reliability may change without notice.

3. Eligibility

You must be at least 18 years old to create an account and use Nod First. By registering, you represent that you meet this requirement. Nod First is not directed at, and does not knowingly collect information from, children under 13.

5. AI-Generated Task Recommendations

Nod First utilizes artificial intelligence to process plain-language requests and schedule family logistics. AI-generated task extractions and risk verdicts may contain errors. Family members are responsible for reviewing and approving all high-stakes, medical, or financial tasks.

7. User Account & Conduct

You agree to provide accurate information upon registration, maintain account security, and refrain from uploading malicious prompts, scraping data, or abusing the platform.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOGLYAD AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING MISSED APPOINTMENTS, DELAYED MEDICATION REMINDERS, OR SERVICE INTERRUPTIONS. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

9. Indemnification

You agree to indemnify and hold harmless Nod First and its developers from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Service or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, including for conduct that violates Section 7. You may stop using the Service at any time. Upon termination, your right to use the Service ends immediately; requests regarding your data are handled as described in our Privacy Policy.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal disputes shall be resolved through individual binding arbitration, and you waive any right to participate in a class action.

You may opt out of this arbitration agreement by sending written notice to hello@nodfirst.com within 30 days of first accepting these Terms. If you opt out, disputes will instead be resolved in the state or federal courts located in California.

12. Modification of These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Demos

A demo workspace is provided as is, for evaluation, with fictional data, for the period shown on the demo (14 days unless we say otherwise). We may close a demo at any time. Don't enter real personal or health information about anyone into a demo; the demo isn't set up to protect it the way an account is, and we'll delete it if we find it.

15. Pilots and the pilot agreement

Starting a pilot at /agency/pilot/start is an agreement between your firm and Nod First on the terms shown on that page at the time you accept them (the “pilot agreement”). We keep a copy of the words you accepted and the time you accepted them. If anything in the pilot agreement conflicts with these terms, the pilot agreement wins for that pilot. A pilot lasts 30 days, costs nothing, and ends with your decision; we don't extend pilots.

16. Your firm's responsibilities

If you use Nod First for clients of your agency or practice, you confirm that you're allowed to share their information with a tool you use, that you've told the family members you invite what Nod First is and that a text with a link will arrive, and that you'll sign the confidentiality or business associate agreement we provide before the first real client goes in. You're responsible for your staff accounts and for what they enter.

17. Text messages and the phone line

Family members receive text messages from us only because an agency or practice using Nod First named them as the person who decides for a client. Each text says who asked and why. Reply STOP to any of them to stop receiving texts from us; the agency will be told so it can reach that person another way. Calls to our phone line, when it's on, are answered by an automated system that says what it is at the start.
